Terms of Service

These terms are the agreement between you and Acruxly for your use of the service. They explain what you can expect from us, what we expect from you, and how either side can end the arrangement.

Agreement to these terms

By creating an account or using Acruxly, you agree to these Terms of Service. If you are agreeing on behalf of a company, you confirm you have the authority to bind it, and "you" means that company.

If you do not agree, do not use the service.

Who may use Acruxly

You must be at least eighteen years old, or the age of majority where you live, and legally able to enter into a contract. Acruxly is a tool for businesses and is not offered for personal or household use.

You may not use the service if we have previously terminated your account.

Your account and sign-in

Acruxly signs you in with a one-time code sent to your email address. There is no password, which makes your email account the key to your workspace. Keep it secure, and tell us immediately at support@acruxly.com if you believe someone else has gained access.

You are responsible for everything that happens under your account. The information you give us when registering must be accurate, and you must keep it current.

Workspaces, roles and access

Work in Acruxly happens inside a workspace that belongs to a business. Each person in a workspace holds a role that determines what they can see and do:

  • Master β€” platform-level administration across businesses.
  • Admin β€” full control of a workspace: clients, team, schedule, jobs and financial records.
  • Member β€” the jobs assigned to them, which they can start, complete, and log line items, hours and expenses against.
  • Client β€” their own records and service history.

A single person may hold different roles in different workspaces. Administrators are responsible for who they invite and for the access they grant, and must remove people who should no longer have it.

Your data

The client records, job history and financial information your business enters into Acruxly belong to your business. We claim no ownership of them.

You grant us the limited licence we need to host, process, transmit and display that content in order to operate the service for you, and to create backups. That licence ends when you delete the content or close your account, except for copies held in backups until they are overwritten on their normal cycle.

You are responsible for the content you enter, including having the right to enter personal information about your clients and team, and for providing them with whatever notice or consent the law where you operate requires. Our Privacy Policy explains how we handle that information.

Acceptable use

You agree not to:

  • Use Acruxly for anything unlawful, or to store content that infringes someone else's rights.
  • Attempt to access a workspace, account or record you have not been granted access to.
  • Probe, scan or test the security of the service, or interfere with its normal operation.
  • Use automated means to scrape the service, or place a load on it designed to degrade it for others.
  • Reverse engineer, decompile or attempt to derive the source code of the service.
  • Resell, sublicense or provide the service to third parties outside your own business.
  • Upload malware, or content that is harassing, abusive or deceptive.

Plans, trials and billing

Acruxly offers a free plan and paid plans. The features and limits of each plan are described when you choose it.

If you subscribe to a paid plan, you authorize us to charge the fees for it on the billing cycle you select, and those fees renew automatically until you cancel. Cancelling stops future charges; it does not refund the period already paid for, except where the law requires otherwise.

Payments are handled by a third-party payment processor. We do not store full payment card numbers. We may change our prices, and we will give reasonable notice before a change applies to your subscription. Fees do not include taxes, which are your responsibility where applicable.

Availability and changes to the service

We work to keep Acruxly available, but we do not promise uninterrupted service. Maintenance, updates, provider outages and events beyond our control can all cause downtime.

We may add, change or remove features. If we discontinue a feature your business depends on, or the service as a whole, we will give reasonable notice and a way to export your data.

Third-party services

Acruxly relies on third-party providers for email delivery, address suggestions, error monitoring and hosting. Their availability affects ours, and their terms and privacy practices govern what they do with information we send them.

The service may also link to third-party websites. We do not control them and are not responsible for their content or practices.

Suspension and termination

You may stop using Acruxly at any time, and you may ask us to close your account by writing to support@acruxly.com.

We may suspend or terminate your access if you breach these terms, if your use puts the service or other users at risk, if fees go unpaid, or if we are required to by law. Where circumstances allow, we will give notice and an opportunity to put things right first.

When an account closes, access ends and we handle the data as described in our Privacy Policy. Request an export before you close the account if you want a copy.

Our intellectual property

The Acruxly application, its design, its name and its logo belong to us and are protected by intellectual property law. These terms grant you a limited, non-exclusive, non-transferable right to use the service while your account is in good standing, and nothing more.

You may not copy our branding or present the service as your own.

Feedback

If you send us suggestions for improving Acruxly, we may use them freely and without obligation to you. We will not treat feedback as confidential unless you tell us it is, and we agree.

Disclaimers

Acruxly is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the service will be error free, that it will meet your requirements, or that any figure it calculates is suitable for accounting, tax or legal purposes. Profitability figures are a management aid derived from what your team records β€” verify them before relying on them for a business decision.

Limitation of liability

To the fullest extent permitted by law, neither Acruxly nor anyone involved in providing the service is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost business or lost data, arising out of your use of the service.

Our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred US dollars, whichever is greater.

Some jurisdictions do not allow these exclusions, so parts of this section may not apply to you.

Indemnification

You agree to indemnify and hold harmless Acruxly from claims, damages and reasonable legal costs arising from your use of the service, your content, or your breach of these terms β€” including claims brought by your clients or team members about information you entered into Acruxly.

Governing law and disputes

These terms are governed by the laws of the United States and of the state in which Acruxly is established, without regard to conflict of law rules. The courts of that state have exclusive jurisdiction over any dispute, and you consent to their jurisdiction.

Before filing anything, please write to support@acruxly.com. Most disputes can be resolved that way, and we would rather resolve yours.

Changes to these terms

We may update these terms as the service evolves. The date at the top of this page shows when they last changed. For material changes we will give notice by email or in the application before they take effect. Continuing to use Acruxly after that means you accept the revised terms.

General

If any provision of these terms is held unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.

These terms, together with the Privacy Policy, are the entire agreement between you and Acruxly regarding the service.
